Terms of Service

The agreement between you and Nature Scholar LLC for our managed Amazon services and our self-serve PPC software.

1. Introduction & acceptance

These Terms of Service ("Terms") govern your access to and use of the services, websites, and software offered by Nature Scholar LLC ("Nature Scholar," "we," "us," or "our"). By engaging our services, signing an order or statement of work, or creating an account for our software, you agree to be bound by these Terms. If you do not agree, do not use our services.

These Terms form a binding agreement between you (the "Client," "you," or "your") and Nature Scholar. They may be supplemented by an order form, proposal, or statement of work; where a signed order conflicts with these Terms, the signed order controls for that engagement.

2. Our services

Nature Scholar offers the following, individually or in combination:

  • Managed Amazon advertising management. A done-for-you service in which we plan, launch, and optimize your Amazon Pay-Per-Click (PPC) advertising with the goal of improving net profitability rather than simply reducing advertising cost of sale.
  • FBA reimbursement recovery. A done-for-you service in which we review your Fulfillment by Amazon (FBA) transaction history to identify discrepancies — such as overcharged fees, and lost, damaged, or unreturned inventory — and prepare and submit eligible reimbursement claims to Amazon on your behalf.
  • Self-serve PPC software. A subscription to our software platform, which you connect to your own Amazon account and operate yourself to automate and optimize your advertising.

The specific services you receive are described in your order form, subscription plan, or statement of work.

3. Eligibility

To use our services you represent and warrant that you are at least 18 years old, are an active Amazon seller (or an authorized agent of one), and have the authority to enter into these Terms and to bind the business on whose behalf you are acting. Our services are intended for businesses and are not directed to consumers or individuals acting for personal purposes.

4. Accounts & access

Where a service requires access to your Amazon account, you grant us scoped, revocable permissions through Amazon's authorized advertising and reporting access — for example via Amazon's official authorization flows. We never require or request your Amazon password, and we do not take ownership or control of your account. You may revoke our access at any time.

You are responsible for maintaining the confidentiality of your own account credentials, for all activity that occurs under your accounts, and for promptly notifying us of any unauthorized use. For our software, you are responsible for keeping your login details secure.

5. Fees & billing

  • Software subscriptions are billed monthly in advance through our payment processor, Stripe, at the plan price in effect when you subscribe.
  • Managed-service retainers are billed monthly at the amount stated in your order form.
  • Performance fees for reimbursement recovery are charged as a percentage of the reimbursements actually recovered for you, and are billed only after the recovered funds have landed in your Amazon account.
  • All fees are stated and payable in US dollars (USD) and are exclusive of any applicable taxes, which are your responsibility.
  • If a payment fails, we may retry the charge, suspend the affected service, and/or charge reasonable costs of collection. Continued non-payment may result in termination.

6. Client responsibilities

You agree to provide accurate and complete information, to sell only lawful products that you are authorized to sell, and to comply with all applicable laws and with Amazon's policies, program terms, and guidelines. You are responsible for the products you sell and for your own business decisions. You will not use our services to engage in any deceptive, infringing, or prohibited activity.

7. No guarantee of results

Advertising performance and reimbursement outcomes depend on many factors outside our control, including your products, pricing, competition, inventory, and Amazon's own decisions. We provide our services with reasonable skill and care, but we do not guarantee any specific level of profit, sales, savings, or reimbursement recovery. Any figures, examples, or illustrations we share are for illustration only and are not a promise of results.

8. Intellectual property

Our software, technology, methods, documentation, branding, and all related materials are and remain the property of Nature Scholar and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the software during your subscription solely for your internal business purposes. You retain all rights to your own business data; you grant us the rights necessary to process that data in order to provide the services.

9. Confidentiality

Each party may receive information from the other that is confidential. Each party agrees to protect the other's confidential information with reasonable care, to use it only to perform or receive the services, and not to disclose it to third parties except to service providers bound by comparable obligations, or as required by law. This does not apply to information that is public, independently developed, or lawfully received from a third party.

10. Limitation of liability

To the maximum extent permitted by law, the services and software are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Nature Scholar will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the services will not exceed the total fees you paid to us for the affected service in the three (3) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nature Scholar and its officers, employees, and agents from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your products, your use of the services, your breach of these Terms, or your violation of any law or third-party right, including Amazon's policies.

12. Term & termination

These Terms remain in effect while you use the services. Either party may terminate an engagement as described in the applicable order form, or on reasonable notice where no term is stated. Software subscriptions cancel at the end of the then-current billing period and are not pro-rated. Managed-service engagements may be terminated with reasonable notice as set out in your order.

On termination, your right to use the software ends, we will stop performing services, and any fees accrued up to the effective date of termination remain payable. Sections that by their nature should survive — including fees owed, intellectual property, confidentiality, limitation of liability, and indemnification — survive termination.

13. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the services after changes take effect constitutes acceptance of the revised Terms.

14. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States (update to Nature Scholar LLC's state of formation), without regard to its conflict-of-laws rules. The parties agree to first attempt to resolve any dispute informally and in good faith. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts located in that state, unless otherwise required by applicable law.
